Terms of Service

1. Acceptance of these terms
These Terms of Service (the “Terms”) are an agreement between you and GrowthWise Ventures, LLC, doing business as DelegateTasks.ai (“DelegateTasks.ai”, “we”, “us”) governing your use of the DelegateTasks.ai application and website at delegatetasks.ai (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. What the Service is
DelegateTasks.ai is an AI-assisted delegation tool. It helps you audit the tasks on your plate, produces AI-generated delegability scores and analyses, matches tasks to team members you add, generates delegation briefs, sends those briefs by email at your direction, and tracks delegation outcomes over time.
We may change, add, or remove features of the Service as it evolves. Where a change materially reduces what a paid plan includes, we will give you reasonable notice.
3. Accounts and eligibility
- You must be at least 18 years old to use the Service. It is a business tool and is not directed at children.
- You must provide accurate account information (including a valid email address) and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity that happens under your account.
- You may sign in with email and password or with Google. Either way, the account is yours and these Terms apply.
4. Subscriptions, billing, and refunds
- The Service is offered as paid monthly subscription plans. Each plan’s limits — active tasks, team members, monthly briefs and SOPs, and daily AI usage — are those published on our pricing page at the time you subscribe.
- Payments are processed by Stripe. We do not store your card details; billing information is handled by Stripe under its own terms and privacy policy.
- 14-day money-back guarantee. If you are not satisfied, contact us within 14 days of your first subscription payment and we will refund that payment in full. The guarantee applies to your first subscription payment only and is limited to one refund per customer. It does not apply to renewals, plan changes, or one-time AI credit top-up purchases.
- Paid plans renew monthly until canceled. You can cancel at any time from the billing settings; cancellation takes effect at the end of the current billing period, and you keep paid access until then. After cancellation your data remains stored and you can resubscribe to pick up where you left off, subject to the Privacy Policy’s retention terms.
- One-time AI credit top-ups add a prepaid usage balance to your account. Credits have no cash value, are non-refundable, and are consumed as you use AI features beyond your plan’s published limits.
- Apart from the guarantee above, fees are non-refundable except where a refund is required by applicable law.
- We may change plan pricing with advance notice; price changes apply from your next billing period.
5. Acceptable use
You agree not to:
- use the Service for anything unlawful, or to send abusive, deceptive, or unsolicited email through the brief-delivery feature. Briefs may only be sent to people who work with you and expect to hear from you.
- attempt to circumvent plan limits, daily usage caps, or metering — for example by automating requests, sharing accounts, or manipulating API calls. These limits are part of the Service and are enforced in the application and the database.
- resell, sublicense, or repackage the Service or its AI output as your own competing service.
- probe, disrupt, or attempt to gain unauthorized access to the Service, other users’ data, or our infrastructure.
Daily and monthly usage allowances are published on the pricing page. Plan features described as unlimited (such as active tasks and team members on paid plans) remain subject to reasonable technical safeguards that exist to prevent automated abuse.
We may suspend or terminate accounts that violate this section.
6. AI-generated content
Delegability scores, task analyses, team matches, chat responses, and delegation briefs are generated by artificial intelligence. They are suggestions, not professional, legal, financial, employment, or business advice. AI output can be incomplete, inaccurate, or wrong.
You are responsible for the decisions you make based on the Service’s output, including hiring, assignment, and compensation decisions, and for reviewing every brief before you send it to anyone. A brief is sent only when you choose to send it.
7. Your content
You own the content you put into the Service: your tasks, the team member details you enter, your conversations with the AI assistant, and the briefs generated for you.
You grant us a limited, non-exclusive license to host, process, transmit, and display that content solely to operate and provide the Service — for example, sending your task details to our AI provider to generate an analysis, or emailing a brief to the recipient you chose. Emails are sent on your behalf and at your direction. You are responsible for having the right to enter the information you add about other people, such as team members’ names and email addresses.
8. Third-party services
The Service is built on third-party providers: Supabase (database, authentication, and hosting of your data), Vercel (application hosting), Stripe (payments), OpenRouter (routing to AI model providers), Resend (email delivery), and Google (optional sign-in). Their availability affects the Service, and your use of Google sign-in and Stripe checkout is also subject to those providers’ terms.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service (with reasonable notice where practicable).
On termination, your right to use the Service ends. Deleting your account deletes the data associated with it, as described in the Privacy Policy.
10. Disclaimers and limitation of liability
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising out of or relating to the Service is capped at the fees you paid us in the twelve months before the event giving rise to the claim (or 100 US dollars if you paid nothing). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Indemnification
You will indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service in violation of these Terms, or your violation of applicable law — including claims from people to whom you sent briefs.
12. Changes to these terms
We may update these Terms from time to time. If a change is material, we will notify you by email or in the app before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms. The “Last updated” date at the top reflects the current version.
13. Governing law and venue
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction.
